RoadKing.tech — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at roadking.tech and its subdomains (the "Site"), the RoadKing.tech web application, and any related services (collectively, the "Services") operated by Iglesias Industries, LLC, a Texas limited liability company doing business as RoadKing.tech ("RoadKing," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Plain-language summary (non-binding): Welcome. By using our website, you agree to these rules. We provide an AI-powered dispatch service for truckers — if you sign up as a paid subscriber, a separate Driver Service Agreement controls that relationship. Don't break our service or use it for unlawful things. We make no guarantees beyond what's in our written agreements. If something goes wrong, our liability is limited.

1. ACCEPTANCE OF TERMS

1.1 By accessing the Site, creating an account, or using any of the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Services on behalf of a business entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to both you individually and that entity.

1.2 If you are a paid subscriber to RoadKing's dispatch services, the Driver Service Agreement, the Dispatch Services Agreement, and the Limited Power of Attorney (collectively, the "Subscription Documents") also apply. In the event of a conflict between these Terms and the Subscription Documents, the Subscription Documents control with respect to the subject matter they address.

2. THE SERVICES

2.1 What We Offer. RoadKing operates an autonomous AI-assisted dispatch service for motor carriers, particularly owner-operators and small fleets. The Services include freight sourcing, automated rate negotiation with brokers, presentation of negotiated loads to drivers for approval, and load lifecycle management.

2.2 Public vs. Subscriber Features. Portions of the Site (such as marketing pages, blog posts, FAQ, and pricing information) are publicly accessible. Substantive use of the Services — including driver onboarding, load management, and dispatch — requires a paid subscription governed by the Subscription Documents.

2.3 AI-Assisted Operations. You acknowledge that our Services are performed in substantial part by automated systems, including artificial intelligence and machine learning models, with human oversight. Communications generated by the Services may be machine-generated.

2.4 Not a Broker; Not Legal, Tax, or Insurance Advice. RoadKing is a dispatch services provider operating as the authorized agent of subscribing carriers. RoadKing is not a freight broker, a law firm, an accounting firm, or an insurance broker. Nothing on the Site constitutes legal, tax, financial, or insurance advice. Consult a qualified professional for advice specific to your situation.

3. ELIGIBILITY

3.1 You must be at least eighteen (18) years old to use the Services. By using the Services, you represent that you are at least 18 years old.

3.2 To subscribe to RoadKing's dispatch services as a motor carrier, you must hold valid and active FMCSA operating authority (USDOT and MC numbers) and maintain insurance coverage required by 49 CFR Part 387.

3.3 The Services are intended for use within the United States. We do not currently offer Services to users outside the United States.

4. ACCOUNTS

4.1 Account Creation. To use Subscriber features of the Services, you must create an account by providing accurate, current, and complete information. You agree to keep this information up to date.

4.2 Account Security. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect any unauthorized access.

4.3 One Account per Carrier. Each motor carrier should have one RoadKing account. Sharing of credentials across multiple carriers, or using one carrier's account to dispatch loads for another, is prohibited.

5. ACCEPTABLE USE

5.1 You agree NOT to:

(a) Use the Services for any unlawful purpose or in violation of any law or regulation;

(b) Use the Services to dispatch loads for vehicles or drivers other than those identified to RoadKing on your account;

(c) Misrepresent your identity, carrier authority, insurance status, or any other material fact to RoadKing or to brokers or shippers via the Services;

(d) Attempt to interfere with, compromise, or disrupt the Services, including by introducing malware, attempting unauthorized access, scraping at unreasonable volumes, or denial-of-service attacks;

(e) Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying ideas of the Services or any AI model used to power them;

(f) Use the Services to harass, threaten, defame, or otherwise harm any person or business, including any broker, shipper, or other RoadKing user;

(g) Resell, sublicense, or commercialize the Services or any portion thereof without our prior written consent;

(h) Use the Services in any manner that could damage, disable, or impair RoadKing's reputation, infrastructure, or business relationships;

(i) Use the Services to send unsolicited commercial messages (spam) in violation of CAN-SPAM, TCPA, or similar laws;

(j) Circumvent or attempt to circumvent the driver-approval requirement, payment requirements, kill switch, or any other safety or compliance feature of the Services.

5.2 We may suspend or terminate your access to the Services at any time, without notice, if we reasonably believe you have violated this Section 5.

6. INTELLECTUAL PROPERTY

6.1 Our IP. The Services, the Site, and all related content (including text, graphics, software code, AI models, prompts, system designs, and documentation) are owned by RoadKing or our licensors and are protected by copyright, trademark, trade-secret, and other intellectual property laws. Except for the limited rights expressly granted herein, no rights are granted to you.

6.2 License to You. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your own internal business purposes as a motor carrier (or, for public Site visitors, to view publicly accessible content).

6.3 Your Content. You retain ownership of any content you submit to the Services (e.g., your carrier profile, load preferences, communications). You grant RoadKing a non-exclusive, worldwide, royalty-free license to use, store, transmit, and display your content as necessary to operate the Services and to comply with legal obligations. We may use anonymized and aggregated data derived from your content to improve the Services and to generate industry-level insights, provided that no data identifies you individually or by name.

6.4 Feedback. If you provide us with feedback, suggestions, or ideas about the Services, you grant us a perpetual, worldwide, royalty-free, irrevocable license to use that feedback for any purpose without any obligation to you.

6.5 Trademarks. "RoadKing," the RoadKing logo, and related marks are trademarks of Iglesias Industries, LLC (d/b/a RoadKing.tech). You may not use them without our prior written permission, except as required for accurate factual reference (e.g., describing a service you use).

7. THIRD-PARTY SERVICES

7.1 The Services integrate with third-party services and platforms, including without limitation Stripe (payment processing), Anthropic (AI inference), Twilio (SMS and voice), IONOS (email infrastructure), Cloudflare (DNS and CDN), DAT (load board data), Documenso (e-signature), and load board providers. Your use of those third-party services is subject to those providers' own terms and privacy policies.

7.2 RoadKing is not responsible for the availability, content, or practices of third-party services. Inclusion of a third-party integration is not an endorsement.

8. PAYMENT TERMS (Public Summary)

8.1 The pricing for RoadKing's dispatch subscription is $300 per week, pre-paid, charged weekly on the same day of the week as your signup date. Detailed payment terms — including the free-week credit policy, payment failure handling, and cancellation — are set forth in the Driver Service Agreement. Pricing is subject to change with notice as set forth in the Driver Service Agreement.

9. DISCLAIMERS

9.1 THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.

9.2 WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ROADKING DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

9.3 WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR HARMFUL COMPONENTS.

9.4 WE MAKE NO GUARANTEE OF FREIGHT VOLUME, RATES NEGOTIATED, OR REVENUE GENERATED THROUGH THE SERVICES. MARKET CONDITIONS, BROKER BEHAVIOR, LANE ECONOMICS, AND YOUR STATED PREFERENCES ALL AFFECT OUTCOMES.

9.5 AI-GENERATED OUTPUTS — INCLUDING NEGOTIATION DRAFTS, LOAD RECOMMENDATIONS, AND COMMUNICATIONS — MAY CONTAIN ERRORS. YOU ARE RESPONSIBLE FOR EXERCISING JUDGMENT IN APPROVING OR DECLINING ANY LOAD PRESENTED TO YOU.

9.6 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. LIMITATION OF LIABILITY

10.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ROADKING, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ROADKING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(a) THE AMOUNTS YOU PAID TO ROADKING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(b) ONE HUNDRED U.S. DOLLARS ($100.00).

10.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

11. INDEMNIFICATION

11.1 You agree to indemnify, defend, and hold harmless RoadKing, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

(a) Your use of or access to the Services;

(b) Your violation of these Terms;

(c) Your violation of any third-party right, including without limitation intellectual property, privacy, or contractual rights;

(d) Your motor-carrier operations, including any cargo claims, accidents, or regulatory violations.

12. TERMINATION

12.1 You may stop using the Services at any time. Cancellation of paid subscriptions is governed by the Driver Service Agreement.

12.2 We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Cause for termination includes without limitation violation of Section 5 (Acceptable Use), non-payment, fraud, or any conduct that exposes RoadKing to legal liability.

12.3 Sections that by their nature should survive termination (including Sections 6, 9, 10, 11, 13, 14, and 15) survive termination.

13. CHANGES TO THESE TERMS

13.1 We may modify these Terms from time to time. Material changes will be communicated through the Site or by email at least thirty (30) days before they take effect.

13.2 Continued use of the Services after the effective date of a change constitutes acceptance of the modified Terms. If you do not agree, your remedy is to stop using the Services.

13.3 The "Last Updated" date at the top of these Terms reflects the most recent revision.

14. GOVERNING LAW; DISPUTES

14.1 Governing Law. These Terms are governed by the laws of the State of the State of Texas, without regard to conflict-of-laws principles.

14.2 Informal Resolution. Before initiating any formal proceeding, you agree to attempt in good faith to resolve any dispute by contacting us at [email protected] and allowing us at least thirty (30) days to respond.

14.3 Binding Arbitration. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Houston, Texas. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

14.5 Equitable Relief. Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

15. GENERAL PROVISIONS

15.1 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.

15.2 No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

15.3 Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

15.4 Entire Agreement. These Terms, together with the Privacy Policy and any Subscription Documents you have entered into, constitute the entire agreement between you and RoadKing regarding the Services and supersede all prior agreements regarding the same subject matter.

15.5 Notices. Notices to RoadKing under these Terms should be sent to [email protected]. Notices to you may be sent to the email address on your account or posted on the Site.

15.6 Force Majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, pandemic, governmental action, or failure of internet or communications infrastructure.

16. SMS / TEXT MESSAGING

RoadKing operates a text messaging program ("RoadKing texts"). By opting in, you agree to receive recurring SMS text messages from RoadKing, which may include signup and fit-check links, account and onboarding notifications, verification codes, and support replies. Message frequency varies. Message and data rates may apply. Reply HELP for help or email [email protected]; reply STOP to cancel at any time. Consent to receive texts is not a condition of any purchase. We do not sell or share your mobile number or opt-in consent with third parties or affiliates for their marketing (see the Privacy Policy, Section 6.6).

16.1 Consent to Receive Texts. By providing your mobile phone number to RoadKing — including by asking our support team to text you a link, or by entering your number on the Site — you agree to receive SMS text messages from RoadKing at that number, which may include signup and fit-check links, account and onboarding notifications, verification codes, and support messages. Consent to receive texts is not a condition of purchasing any service.

16.2 Message Frequency and Rates. Message frequency varies based on your interactions with us. Message and data rates may apply according to your mobile carrier plan. RoadKing is not responsible for carrier charges.

16.3 Opt-Out. You may opt out at any time by replying STOP to any RoadKing text message. You will receive a one-time confirmation and will not receive further messages, except as needed to complete a transaction you initiated. Reply START to resubscribe.

16.4 Help. Reply HELP to any message, or email [email protected], for assistance.

16.5 Delivery. Mobile carriers are not liable for delayed or undelivered messages. Supported carriers and delivery may change without notice.
